Clients range from small, closely-held companies, to middle-market companies and large, publicly-held corporations. Roland services clients over a wide range of industries, including professional practices, software and other hi-tech enterprises, manufacturers, retailers, refuse collection/disposal service providers, construction contractors, architects and engineers, property owners and developers. Roland has been advising business owners for over 35 years.
Areas of particular transactional experience include organization and start-up of new businesses (including choice of entity), negotiation and preparation of commercial contracts, software agreements (licensing, maintenance, source-code, etc.), mergers and acquisitions, federal securities laws (Reg. D and private offerings, tender offers, SEC compliance), franchising, employment and consulting contracts, stock option and other executive compensation plans, and termination/buy-out of dissident shareholders. Roland has significant experience in acquisitions and sales of privately-held business concerns, having served as lead counsel in several multi-million dollar transactions.
Areas of particular litigation experience include majority/minority shareholder disputes, employment issues (including discrimination and harassment), estate and will contests, breach of contract, property disputes, trademark disputes, dissolution/break-up of professional practices, franchise litigation, and securities litigation (including customer-broker arbitrations).
In addition to civil litigation in the court system, Roland has extensive experience in alternative dispute resolution (arbitration and mediation). That experience includes representing parties in dispute resolution forums, as well as serving as a neutral arbitrator and mediator. Roland is a long-time member of the American Arbitration Association panel of commercial arbitrators, and also serves as an NASD Dispute Resolution public arbitrator, and as a mediator for the resolution of commercial disputes.
Roland attended Rensselaer Polytechnic Institute and received his Juris Doctorate from Albany Law School, summa cum laude. He holds the highest peer-review rating from Martindale-Hubbell (A-V). Roland is a member of the New York State Bar Association and the American Arbitration Association
